01Acceptance of Terms
These Terms of Service (the "Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TradingSuite Pro ("TradingSuite," "we," "us," or "our"), governing your access to and use of the TradingSuite Pro platform, including the web application available at https://tradingsuite.app, all associated APIs, software, tools, features, content, and services (collectively, the "Service").
By creating an account, accessing the Service, clicking "I Agree," commencing a free trial, or otherwise using any portion of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, along with our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.
If you do not agree to these Terms, you must immediately discontinue all use of the Service and close your account. Continued use of the Service following any modification to these Terms constitutes your acceptance of the revised Terms.
02Service Description
TradingSuite Pro is a cloud-based software-as-a-service (SaaS) platform that provides automation and analytics tools for self-directed futures traders. The Service allows users to connect their existing brokerage accounts via API credentials and utilize features including, but not limited to: automated trade copying across connected accounts, webhook-based order automation triggered by TradingView alerts, configurable risk management parameters, a profit-and-loss dashboard, and an integrated trading journal.
TradingSuite Pro is a technology tool only. The Service executes orders programmatically in accordance with instructions you configure, alerts you receive from third-party charting platforms, or automation rules you establish. At all times, you remain the decision-maker. TradingSuite does not exercise discretionary authority over your trading activity, does not manage your funds, and does not act as a fiduciary with respect to your trading decisions.
TradingSuite Pro is not a broker-dealer, commodity trading advisor (CTA), introducing broker, futures commission merchant (FCM), investment adviser, or any other type of regulated financial intermediary. We are not registered with the Securities and Exchange Commission (SEC), the Commodity Futures Trading Commission (CFTC), the National Futures Association (NFA), or any other regulatory body in any capacity relating to the execution or management of trades on your behalf. Nothing in the Service, on our website, in our marketing materials, or in communications from our team constitutes investment advice, trading recommendations, or solicitation to buy or sell any financial instrument.
03Financial Risk Disclaimer
IMPORTANT — PLEASE READ CAREFULLY. Trading futures contracts, including but not limited to equity index futures (ES, NQ, RTY), energy futures (CL, NG), metals futures (GC, SI), and all other exchange-traded derivative instruments, involves substantial risk of loss and is not appropriate for all investors. Futures are leveraged instruments; a relatively small adverse market movement can result in losses that exceed your initial margin deposit and may require you to deposit additional funds on short notice. You may lose more than your entire invested capital.
Past performance is not indicative of future results. Hypothetical or simulated performance results have inherent limitations. Unlike actual trading results, simulated results do not represent real trading and may not account for market impact, liquidity constraints, slippage, commissions, or other factors that may materially affect actual trading. No representation is made that any account will, or is likely to, achieve profits or losses similar to those shown in any materials associated with TradingSuite Pro.
TradingSuite Pro provides technology infrastructure that automates the execution of trading instructions that you configure. TradingSuite Pro does not provide investment advice and is not responsible for any trading decisions you make, any orders placed through the Service, or any resulting profits or losses. All trading decisions, including the configuration of automation rules, risk parameters, trade copier settings, and webhook triggers, are made solely by you. You are solely responsible for evaluating the suitability of any trading strategy you implement using the Service.
You should carefully consider whether futures trading is appropriate for you in light of your financial condition, experience level, risk tolerance, and investment objectives. You should consult with a licensed financial advisor, registered commodity trading advisor, or other qualified professional before engaging in futures trading. TradingSuite Pro strongly encourages all users to thoroughly test any automation configuration on a simulated or paper trading account before deploying it with real funds.
04Eligibility
To use the Service, you must be at least eighteen (18) years of age. By creating an account, you represent and warrant that you meet this age requirement. If you are under 18, you are not permitted to use the Service under any circumstances.
You further represent and warrant that: (a) your use of the Service does not violate any applicable law, regulation, or ordinance in your jurisdiction; (b) you are not located in, or a citizen or resident of, any country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a "terrorist supporting" country; (c) you are not listed on any U.S. government list of prohibited or restricted parties; and (d) you have the legal capacity to enter into a binding contract in your jurisdiction.
It is your sole responsibility to determine whether using futures trading automation software is lawful in your country, state, or region. TradingSuite Pro makes no representation that the Service is available or appropriate for use in all geographic locations. Access to the Service from jurisdictions where such access is illegal is strictly prohibited. TradingSuite reserves the right to restrict or deny access to the Service from any jurisdiction at its sole discretion, without notice.
05Account Registration
To access the Service, you must register for an account by providing a valid email address and creating a password, or by using a supported third-party authentication method. You agree to provide accurate, current, and complete information during the registration process and to promptly update such information to keep it accurate, current, and complete at all times. Providing false, misleading, or fraudulent registration information is grounds for immediate account termination.
Upon registration, you will receive an email to the address you provided for verification purposes. Access to the full Service requires that you verify your email address by clicking the link contained in that verification email. You are responsible for ensuring that the email address you provide is valid and that you have access to the inbox associated with it. TradingSuite is not responsible for account access issues resulting from an unverified or inaccessible email address.
You are required to enable two-factor authentication (2FA) on your account. TradingSuite Pro uses Twilio to deliver one-time verification codes via SMS to the mobile phone number you associate with your account. You are responsible for ensuring your phone number is accurate and current. You acknowledge that SMS delivery may be subject to delays or failures outside TradingSuite's control, including carrier issues or network outages.
Each individual may maintain only one (1) account. Creating multiple accounts for the purpose of circumventing subscription restrictions, obtaining additional free trials, or any other deceptive purpose is prohibited and will result in termination of all associated accounts. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify TradingSuite immediately at [email protected] if you suspect any unauthorized access to or use of your account.
06Subscription & Billing
TradingSuite Pro is offered on a monthly subscription basis. Current subscription plans and their associated fees are as follows: the Basic plan is priced at $19.99 per month; the Pro plan is priced at $49.99 per month; and the Enterprise plan is priced at $199.00 per month. Features included in each plan are described on our pricing page at https://tradingsuite.app/#pricing. TradingSuite reserves the right to modify plan features at any time, subject to the notice provisions described in these Terms.
New users are eligible for a seven (7) day free trial of the Service. No credit card or payment information is required to initiate a free trial. At the conclusion of the free trial period, you will be required to select a subscription plan and provide valid payment information to continue accessing the Service. If you do not provide payment information within this window, your account will be transitioned to a limited or inactive state and certain features will become unavailable.
All subscription payments are processed by Stripe, Inc. ("Stripe"), a third-party payment processor. By providing your payment information, you authorize TradingSuite and Stripe to charge the applicable subscription fee to your designated payment method on a recurring monthly basis, beginning on the date your subscription commences and recurring on the same calendar day each subsequent month. You agree to Stripe's terms of service and privacy policy, which govern the processing and storage of your payment information. TradingSuite does not store your full credit card details on its own servers.
Subscriptions automatically renew at the end of each billing period unless canceled prior to the renewal date in accordance with the Cancellation section below. You are responsible for ensuring that your payment method remains valid and has sufficient funds to cover the subscription charge. If a payment fails, TradingSuite will make reasonable efforts to notify you and may retry the charge. If payment cannot be collected after a reasonable number of attempts, your account may be suspended or downgraded until payment is resolved.
TradingSuite reserves the right to change subscription pricing at any time. In the event of a price increase, TradingSuite will provide you with at least thirty (30) days' advance written notice via email to the address on file before the new pricing takes effect. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing. If you do not agree to a price change, you may cancel your subscription before it takes effect.
07Refund Policy
TradingSuite Pro operates a no-refund policy for subscription fees that have already been charged for a billing period that has commenced. Because access to the Service is granted immediately upon the start of each billing period, subscription fees are earned in full at the time of charge and are generally non-refundable. This policy applies regardless of the reason for cancellation, including but not limited to non-use of the Service, dissatisfaction with features, or changes in personal circumstances.
The seven (7) day free trial period constitutes the full refund window for TradingSuite Pro. Users who register, test the Service during the trial period, and choose not to continue are not charged and bear no financial obligation. We strongly encourage all prospective subscribers to make full use of the free trial — including testing automation rules, exploring integrations, and evaluating all plan features — before subscribing to a paid plan.
Notwithstanding the foregoing, TradingSuite may, in its sole and absolute discretion, issue a full or partial refund, credit, or account adjustment in cases of verified billing errors, unauthorized charges, or exceptional circumstances. Any such determination is made on a case-by-case basis and does not constitute a waiver of this policy or an obligation to provide refunds in future situations. Refund requests must be submitted to [email protected] within fifteen (15) days of the charge in question.
08Cancellation
You may cancel your subscription at any time, without penalty, directly through the account settings panel within the Service. To cancel, navigate to your Account Settings, select the Billing section, and follow the prompts to cancel your subscription. Cancellation takes effect at the end of your current billing period; you will retain full access to all features of your subscribed plan through the final day of that period. No prorated refunds are issued for unused time within a billing period.
Upon cancellation, your account will transition to a free or inactive state at the end of the billing period. Your account data, including trading journal entries, configuration settings, and historical records, will be retained for a period of ninety (90) days following the end of your last paid billing period, during which time you may reactivate your subscription to regain access. After ninety (90) days, TradingSuite reserves the right to permanently delete your account data.
If you cancel your subscription but later wish to resubscribe, you may do so at any time using the same or a different subscription plan, provided your account is still within the retention window described above. Resubscribing after the retention period has elapsed may require you to create a new account.
09Broker API Credentials
Certain features of TradingSuite Pro, including the trade copier and order automation tools, require you to connect one or more brokerage accounts by providing API credentials issued by your broker. TradingSuite currently supports integrations with Tradovate and Topstep, and may add or remove supported integrations over time. To use these integrations, you must provide your broker-issued API key, API secret, or other authentication credentials (collectively, "API Credentials") as directed by the Service.
TradingSuite Pro stores your API Credentials in encrypted form using industry-standard encryption practices. However, you acknowledge and accept that no security measure is perfect or impenetrable, and TradingSuite cannot guarantee that your API Credentials will never be accessed by unauthorized parties. You are responsible for generating, maintaining, and revoking API Credentials at the broker level. You should immediately revoke any API Credentials you believe may have been compromised and notify TradingSuite at [email protected].
By providing API Credentials to TradingSuite, you represent and warrant that: (a) you are the authorized account holder for the brokerage account(s) associated with those credentials; (b) your use of TradingSuite in connection with those credentials complies with all applicable terms of service and usage policies of the relevant broker; and (c) you have reviewed and understand any restrictions your broker imposes on automated trading or third-party API access.
You are solely responsible for ensuring that your use of TradingSuite complies with your broker's terms of service. TradingSuite is not responsible for any consequences arising from a broker's revocation of API access, suspension of your brokerage account, or any other action taken by a broker in connection with your use of the Service. You acknowledge that some prop trading firms and funded account programs impose specific rules regarding automated trading; it is your responsibility to verify compliance with such rules before using TradingSuite in connection with those accounts.
10Affiliate & Referral Program
TradingSuite Pro operates an affiliate and referral program ("Affiliate Program") that allows eligible participants to earn commissions by referring new paying subscribers to the Service. Participation in the Affiliate Program is subject to the additional terms and conditions set forth in the TradingSuite Affiliate Program Agreement, which is provided to approved affiliates separately. In the event of any conflict between these Terms and the Affiliate Program Agreement, the Affiliate Program Agreement will govern with respect to affiliate-specific matters.
Affiliate commissions are paid in accordance with the payout schedule and structure set forth in the Affiliate Program Agreement. Commissions are earned only on qualifying referrals that result in a paid subscription and are subject to a verification and hold period before becoming payable. TradingSuite reserves the right to withhold, reverse, or cancel commission payments in cases of fraud, abuse, or violation of program terms.
All participants in the Affiliate Program are required to comply with the Federal Trade Commission (FTC) Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255), including the requirement to clearly and conspicuously disclose any material connection to TradingSuite Pro in all promotional content. Affiliates must disclose their relationship with TradingSuite in any social media posts, YouTube videos, blog articles, emails, or other promotional materials in which they recommend or refer others to the Service. Failure to comply with FTC disclosure requirements is grounds for immediate removal from the Affiliate Program and forfeiture of unpaid commissions.
TradingSuite reserves the right to modify, suspend, or terminate the Affiliate Program at any time upon thirty (30) days' written notice. Earned and unpaid commissions as of the program termination date will be paid out in accordance with the then-current program terms.
11Acceptable Use & Prohibited Conduct
You agree to use the Service only for lawful purposes and in accordance with these Terms. The following conduct is expressly prohibited, and engaging in any prohibited conduct may result in immediate suspension or termination of your account, forfeiture of any unused subscription fees, and, where appropriate, referral to law enforcement:
Market manipulation. You may not use the Service in connection with any activity that constitutes market manipulation under applicable law, including but not limited to spoofing, layering, wash trading, or any other practice designed to artificially influence the price or volume of a financial instrument.
Unauthorized access. You may not attempt to gain unauthorized access to any portion of the Service, any other accounts or systems connected to the Service, or any networks operated by TradingSuite. You may not use any automated means, including bots, scrapers, or crawlers, to access the Service except as expressly permitted in writing by TradingSuite.
Reverse engineering. You may not decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Service or any software component thereof. You may not create derivative works based on the Service or any part thereof.
Interference and disruption. You may not take any action that imposes an unreasonable or disproportionately large load on TradingSuite's infrastructure, interferes with the proper functioning of the Service for other users, or circumvents any rate limits or access controls implemented by TradingSuite.
Misrepresentation. You may not impersonate TradingSuite, its employees, or any other person or entity, or misrepresent your affiliation with any person or entity in connection with the Service.
Violation of third-party rights. You may not use the Service in a manner that infringes, misappropriates, or otherwise violates any intellectual property rights, privacy rights, or other rights of any third party.
Resale without authorization. You may not resell, sublicense, or otherwise provide access to the Service to third parties without TradingSuite's prior written consent, except as expressly permitted under the Affiliate Program or an Enterprise agreement.
12Intellectual Property
The Service, including all software, code, algorithms, user interface designs, graphics, text, documentation, and other content comprising the platform, is owned by TradingSuite Pro and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The TradingSuite Pro name, logo, and all related marks, product names, and service names are trademarks or registered trademarks of TradingSuite Pro. You are granted no right or license to use any TradingSuite trademark or trade name without prior written consent.
Subject to your compliance with these Terms and timely payment of all applicable subscription fees, TradingSuite grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal or internal business trading purposes during the term of your subscription. This license does not include the right to copy, modify, distribute, sell, or lease any part of the Service.
You retain ownership of all data you input into the Service, including your trading journal entries, notes, custom configurations, and any other content you create within the platform ("User Data"). By using the Service, you grant TradingSuite a limited, non-exclusive, royalty-free license to store, process, and transmit your User Data solely as necessary to provide, maintain, and improve the Service. TradingSuite will not sell your User Data to third parties or use it for advertising purposes. Upon account termination and within the data retention period described herein, you may request an export of your User Data by contacting [email protected].
Any feedback, suggestions, ideas, or other submissions you voluntarily provide to TradingSuite regarding the Service ("Feedback") will be considered non-confidential and non-proprietary. By submitting Feedback, you grant TradingSuite a perpetual, irrevocable, royalty-free, worldwide license to use, copy, modify, and incorporate such Feedback into the Service or any other product or service without any obligation to you.
13Data & Privacy
The collection, use, storage, and disclosure of your personal information in connection with the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy and consent to the practices described therein.
TradingSuite uses Twilio, Inc. to deliver SMS messages for two-factor authentication purposes. Your phone number may be transmitted to Twilio for this purpose. TradingSuite uses Stripe, Inc. for payment processing. Your payment information is transmitted to and stored by Stripe in accordance with Stripe's privacy policy and PCI-DSS compliance standards. TradingSuite may use other third-party service providers to support the operation of the Service; a current list of sub-processors is available in the Privacy Policy.
You are responsible for ensuring that any personal data you input into the Service — including information about other individuals, such as in a multi-account or enterprise configuration — is collected and processed in compliance with applicable data protection laws. TradingSuite does not assume responsibility for data compliance obligations that rest with you as the data controller in such contexts.
14Service Availability
TradingSuite Pro operates on a best-effort basis and makes reasonable commercial efforts to maintain continuous, uninterrupted access to the Service. However, TradingSuite does not guarantee any specific level of uptime, availability, or performance for users on the Basic or Pro subscription plans. The Service may be temporarily unavailable due to scheduled maintenance, emergency maintenance, infrastructure issues, third-party service outages, or events outside TradingSuite's reasonable control.
Enterprise plan subscribers may be eligible for a Service Level Agreement (SLA) specifying uptime commitments and remedies, as set forth in a separate Enterprise agreement. Absent such a written SLA, no uptime guarantee is provided at any subscription tier.
The Service relies on third-party brokers, financial data providers, and API services, including Tradovate, Topstep, TradingView, and others. TradingSuite is not responsible for any unavailability, errors, delays, or degraded performance resulting from outages or changes at the broker or data provider level. You acknowledge that broker API outages may prevent the Service from executing automation rules, and that TradingSuite bears no liability for trading losses or missed opportunities arising from such third-party outages.
TradingSuite will make reasonable efforts to provide advance notice of scheduled maintenance windows via in-app notifications or email. In the event of unplanned outages, TradingSuite will endeavor to communicate status updates through its status page or email as promptly as reasonably practicable. It is your responsibility to have independent monitoring or contingency procedures in place for your trading activity and to not rely solely on the Service for time-critical risk management.
15Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRADINGSUITE PRO, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY TRADING LOSSES, LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY — WHETHER ARISING OUT OF OR RELATING TO THESE TERMS, YOUR USE OF OR INABILITY TO USE THE SERVICE, AUTOMATION ERRORS OR FAILURES, BROKER API OUTAGES, MARKET VOLATILITY, OR ANY OTHER MATTER.
Without limiting the generality of the foregoing, TradingSuite shall not be liable for: (a) any trades placed, delayed, or failed to be placed as a result of using the Service; (b) any trading losses resulting from an automation configuration you set up, including trade copier settings, webhook rules, or risk parameter configurations; (c) any losses resulting from your broker's API outage, rate limiting, order rejection, or account restriction; (d) any losses arising from inaccurate, delayed, or missing market data; or (e) any unauthorized access to your account or broker API credentials.
AGGREGATE LIABILITY CAP. To the extent that TradingSuite is found liable notwithstanding the above, TradingSuite's total cumulative liability to you arising out of or relating to these Terms or the Service, regardless of the cause of action or the theory of liability, shall not exceed the total subscription fees actually paid by you to TradingSuite during the three (3) calendar months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages; in such jurisdictions, the limitations above shall apply to the fullest extent permitted by applicable law. You acknowledge that the fee structure of the Service reflects the allocation of risk between the parties, and that TradingSuite would not provide the Service at the prices offered without these limitations.
16Indemnification
You agree to defend, indemnify, and hold harmless TradingSuite Pro and its officers, directors, employees, contractors, agents, affiliates, and licensors (collectively, the "TradingSuite Parties") from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, judgments, fines, penalties, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of the Service, including any automation rules, configurations, or API connections you establish; (b) any trades or orders executed through the Service under your account; (c) your violation of these Terms, including any representation or warranty made herein; (d) your violation of any applicable law, regulation, or third-party right, including any broker or exchange rules applicable to your trading activity; or (e) any claim by a third party arising from actions you take using the Service.
You expressly acknowledge that TradingSuite is a technology tool and that all trading decisions and resulting positions, profits, and losses are entirely your own. To the maximum extent permitted by law, you waive any claim you may have against the TradingSuite Parties for trading losses incurred while using the Service, and you agree to indemnify the TradingSuite Parties from any claim by a third party — including a broker, exchange, prop trading firm, or counterparty — arising from your trading activity conducted through or facilitated by the Service.
TradingSuite reserves the right to assume exclusive control of the defense of any matter otherwise subject to indemnification by you, at your expense. You agree to cooperate fully with TradingSuite in the assertion of any available defenses in such matters. You may not settle any claim that imposes any obligation or liability on any TradingSuite Party without TradingSuite's prior written consent.
17Termination
Either party may terminate these Terms and close your account at any time. You may terminate by canceling your subscription and closing your account through the account settings, as described in the Cancellation section above. Your continued access to the Service through the end of the paid billing period, following submission of a cancellation request, constitutes the agreed wind-down period.
TradingSuite may suspend or terminate your access to the Service immediately, without prior notice or liability, if TradingSuite determines in its sole discretion that you have: (a) violated any provision of these Terms; (b) engaged in conduct that TradingSuite reasonably believes is harmful to TradingSuite, other users, third parties, or the public; (c) failed to make a required payment after a reasonable cure period; (d) provided false or misleading registration information; or (e) used the Service in connection with any illegal activity.
Upon termination for cause, you will not be entitled to any refund of subscription fees paid. TradingSuite may, but is not obligated to, provide you with notice of the basis for any suspension or termination. TradingSuite's decision to suspend or terminate an account is final and not subject to appeal except as TradingSuite may choose to allow in its sole discretion.
Upon any termination of these Terms for any reason: (a) all licenses and rights granted to you under these Terms will immediately cease; (b) you must immediately discontinue all use of the Service; and (c) provisions of these Terms that by their nature should survive termination — including, without limitation, the Financial Risk Disclaimer, Limitation of Liability, Indemnification, Governing Law, and all payment obligations — shall survive indefinitely.
18Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them or their subject matter, including any non-contractual obligations, shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Mandatory Arbitration. Except as provided below, any dispute, controversy, or claim arising out of or relating to these Terms, the breach, termination, or validity thereof, or your use of the Service shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable, then in effect. The arbitration shall be conducted by a single arbitrator. The seat of the arbitration shall be Wilmington, Delaware. The language of the arbitration shall be English. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Class Action Waiver. To the maximum extent permitted by applicable law, you waive any right to participate in any class action, collective action, or representative proceeding against TradingSuite. All disputes must be brought in your individual capacity only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator shall have no authority to consolidate claims or hear any claim as a class or representative action.
Exceptions to Arbitration. Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened misappropriation of intellectual property rights or breach of confidentiality obligations, pending resolution of the dispute by arbitration. Claims that are within the jurisdiction of a small claims court may, at the option of either party, be brought in such court without arbitration, provided the matter remains in small claims court.
If the mandatory arbitration provision in this section is found to be unenforceable, the parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware for resolution of any covered disputes, and each party irrevocably waives any objection to the laying of venue of such courts.
19Changes to Terms
TradingSuite reserves the right to modify these Terms at any time. For changes that TradingSuite determines, in its reasonable judgment, are material — including changes that expand your obligations, reduce your rights, or materially alter the nature of the Service — TradingSuite will provide at least thirty (30) days' advance written notice by sending an email to the address associated with your account. TradingSuite may also post a notice within the Service interface. The effective date of the revised Terms will be stated at the top of the document.
For non-material clarifications, corrections, or updates that do not substantively alter your rights or obligations — such as fixing typographical errors, clarifying ambiguous language, or updating contact information — TradingSuite may update these Terms without prior notice, and such changes will become effective upon posting.
Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those revised Terms. If you do not agree with a material change to these Terms, your sole remedy is to cancel your subscription and discontinue use of the Service before the effective date of the change. You acknowledge that it is your responsibility to review these Terms periodically and to maintain a current and valid email address on your account so that you receive any notices sent by TradingSuite.
The version of these Terms in effect at the time a dispute arises shall govern that dispute, except that any revised Terms you accepted after the dispute arose shall govern to the extent the revised Terms confer greater rights on you.

Notices required or permitted under these Terms to be given to TradingSuite must be sent by email to [email protected] with a subject line identifying the nature of the notice. Notices will be deemed received upon confirmation of delivery to the recipient's email server. Notices to you will be sent to the email address associated with your account and are deemed received twenty-four (24) hours after dispatch, unless we receive notification that the email was undeliverable.
—Miscellaneous Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any applicable Affiliate Program Agreement or Enterprise agreement, constitute the entire agreement between you and TradingSuite with respect to the Service and supersede all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, whether written or oral.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, it shall be severed from these Terms; the remaining provisions shall continue in full force and effect.
Waiver. No failure or delay by TradingSuite to exercise any right or remedy under these Terms shall operate as a waiver of that right or remedy. A waiver of any breach or default under these Terms does not constitute a waiver of any subsequent breach or default.
Assignment. You may not assign or transfer these Terms, or any of your rights or obligations hereunder, without TradingSuite's prior written consent. TradingSuite may freely assign these Terms, in whole or in part, including in connection with a merger, acquisition, sale of assets, or by operation of law, without your consent and without prior notice.
Force Majeure. TradingSuite shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, power or internet outages, exchange or market closures, or third-party service failures.
No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights. Nothing in these Terms shall confer on any third party any right to enforce any term of these Terms.
